The nature of the University of Torah is as a private, mission-Torah Heavenly Kingdom driven institution. As it is written:

I. ORGANIZATIONAL STATUS & TAX CLASSIFICATION University of Torah™ (“UofT” or “the Ministry”) operates as an integrated auxiliary and educational ministry of the Beth Jacob Hebrew Trust (the “Trust”), a Florida common-law trust organized exclusively for religious, charitable, and educational purposes. Tax Status Disclosure: The Trust operates as a religious organization qualifying for the mandatory exception under IRC § 508©(1)(A) and is not required to apply for formal IRS recognition. The Trust does not solicit tax-deductible charitable contributions. All financial contributions are received as tithes, offerings, or gifts consistent with Biblical stewardship principles. Religious Bona Fides: UofT is a bona fide religious organization within the meaning of the First Amendment, operating with: A recognized creed and form of worship grounded in the Hebrew Scriptures and Messianic Biblical theology. A definite and distinct ecclesiastical government and community of believers A formal code of doctrine and religious instruction. Regular convocations for worship, teaching, and spiritual formation II. FIRST AMENDMENT & ECCLESIASTICAL AUTONOMY. Constitutional Protections: UofT operates under the protections of: The Free Exercise Clause (U.S. Const. amend. I), The Establishment Clause (U.S. Const. amend. I) Florida Constitution Article I, Section 3 (Religious Freedom) The Religious Freedom Restoration Act, 42 U.S.C. § 2000 bb et seq. Church Autonomy Doctrine: UofT’s internal governance, ministerial employment decisions, ecclesiastical discipline, doctrinal instruction, and religious curriculum are protected by the ministerial exception and church autonomy doctrine as articulated in:Hosanna-Tabor Evangelical Lutheran Church & School v. EEOC, 565 U.S. 171 (2012)Our Lady of Guadalupe School v. Morrissey-Berru, 140 S. Ct. 2049 (2020) Serbian Eastern Orthodox Diocese v. Milivojevich, 426 U.S. 696 (1976. Scope of Autonomy: This constitutional protection applies specifically to:Selection, supervision, and discipline of ministry leaders and instructorsDevelopment and teaching of religious curriculum and doctrine. Internal ecclesiastical governance and dispute resolution.Criteria for membership and participation in the faith community. Acknowledgment of Limits: Church autonomy does not exempt UofT from neutral laws of general applicability, including but not limited to: fire safety codes, building codes, criminal law, and laws prohibiting fraud in commercial transactions. III. EDUCATIONAL DESIGNATION & NON-ACCREDITATION: "University" as Ecclesiastical Designation: The term “University of Torah” is used exclusively in its original historical, ecclesiastical, and religious sense, denoting a “gathering of scholars and students devoted to the study of the Word of God.” This designation does not imply, represent, or claim: Status as a statutorily licensed or accredited academic institution under Florida Statutes Chapter 1005 or federal Higher Education Act regulations (20 U.S.C. § 1001 et seq.) Authority to confer degrees recognized by secular employers, professional licensing boards, or accredited educational institutions or Participation in federal student financial aid programs (Title IV. Non-Accreditation Statement: UofT is not accredited by any regional or national accrediting agency recognized by the U.S. Department of Education. UofT does not seek such accreditation. UofT is not a “school” or “college” as defined under Florida Statutes § 1002.01 or § 1005.02. Educational Programs: All instructional programs offered by UofT are exclusively religious in nature, designed for: Spiritual formation and sanctification, Biblical literacy and theological understanding, Ministerial training and faith community leadership, Religious instruction grounded in Hebrew Scripture and Messianic Biblical theology. UofT does not offer:Academic credit transferable to accredited institutions, Professional licensure preparation, Secular vocational trainingDegree programs recognized for secular employment purposes. Completion Certificates: Certificates of completion issued by UofT represent religious achievement within the faith community and do not constitute academic credentials recognized outside the ecclesiastical context of this ministry. IV. MEMBERSHIP, PARTICIPATION & BINDING COVENANTAL AGREEMENT Voluntary Religious Participation: Enrollment in, participation in, or access to UofT programs, content, materials, or services constitutes:1. Voluntary entry into a private religious community governed by Biblical covenant principles. 2. Acknowledgment of the exclusively religious nature of all instruction, materials, and community interaction.3. Agreement to submit to the spiritual authority and ecclesiastical governance of the Trust’s leadership Express Agreement to Terms: BY ACCESSING, VIEWING, DOWNLOADING, OR PARTICIPATING IN ANY UofT CONTENT, PROGRAMS, OR SERVICES, YOU EXPRESSLY AGREE TO THE FOLLOWING BINDING TERMS: A. Religious Nature of Content: You acknowledge and agree that all UofT materials, curriculum, teachings, and instruction represent the theological perspectives of the Hebrew Scriptural tradition and Messianic Biblical theology. These materials are: Not subject to revision, modification, or censorship based on external secular standards, academic peer review, or governmental regulation. Protected religious speech under the First Amendment. Presented from a position of faith conviction, not secular academic neutrality B. Supersession of Secular Standards: You acknowledge and agree that participation in UofT constitutes entry into a religious covenant community where: Secular standards of “academic freedom” as applied in state-regulated educational institutions do not apply. Consumer protection statutes applicable to commercial educational services are superseded by First Amendment religious liberty protections. Doctrinal instruction is governed by Biblical truth claims, not secular epistemological frameworks C. Non-Commercial Religious Activity: You acknowledge and agree that: Your participation is religious activity, not a consumer transaction for secular educational services Any financial contributions (tuition, tithes, offerings, donations) are voluntary religious gifts supporting ministry operations. You are not purchasing academic credit, professional credentials, or state-regulated educational services. Florida Deceptive and Unfair Trade Practices Act (FDUTPA) consumer protections do not apply to your participation in this religious ministry V. BINDING RELIGIOUS ARBITRATION & DISPUTE RESOLUTION. Mandatory Ecclesiastical Arbitration: YOU EXPRESSLY AGREE that any and all disputes, claims, or controversies arising out of or relating to:Your participation in UofT programs, Access to or use of UofT materials, content, or services, Interpretation of these terms or UofT policies, Allegations of breach of covenant, financial disputes, or other grievance SHALL BE RESOLVED EXCLUSIVELY through binding ecclesiastical arbitration conducted by a tribunal of three (3) elders appointed by the leadership of Beth Jacob Hebrew Trust, whose decision shall be final, binding, and not subject to secular judicial review, except as required by applicable law. Arbitration Procedures: 1. The arbitration shall be conducted in accordance with Biblical principles of dispute resolution as set forth in Matthew 18:15–20 and 1 Corinthians 6:1–8. 2. The arbitration shall be governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.3.The arbitration tribunal shall apply Biblical law and covenant principles, not secular contract law or statutory consumer protections. 4 The arbitration shall be confidential and conducted in a location determined by the Trust.5. Each party shall bear their own costs and attorney’s fees unless the tribunal determines otherwise5. The arbitration award may be entered as a judgment in any court of competent jurisdiction. Limited Exceptions: This arbitration requirement does not apply to: Claims that Florida or federal law specifically prohibits from arbitration (e.g., certain statutory employment claims not subject to waiver), Actions for injunctive relief to protect UofT’s intellectual property rights, Small claims court actions within jurisdictional limits.Waiver of Class Actions: YOU EXPRESSLY WAIVE any right to pursue claims on a class action, representative, or collective basis. All disputes must be arbitrated individually. Acknowledgment of Church Autonomy: You acknowledge that this arbitration agreement is grounded in the constitutional doctrine of church autonomy and the ministerial exception, which prohibits secular courts from reviewing internal ecclesiastical determinations. See Hosanna-Tabor, 565 U.S. 171; Our Lady of Guadalupe, 140 S. Ct. 2049. VI. INTELLECTUAL PROPERTY RIGHTS & ENFORCEMENT Proprietary Religious Materials: All content produced, published, or distributed by UofT, including but not limited to: Course materials, curricula, and instructional documents. Video recordings, audio recordings, and multimedia content. Hebrew translations, Biblical commentaries, and theological analyses,Website content, graphics, and user interface elements, Trademark “University of Torah™” and associated branding are the exclusive proprietary intellectual property of Beth Jacob Hebrew Trust, protected under: Federal copyright law (17 U.S.C. § 101 et seq.),Federal trademark law (15 U.S.C. § 1051 et seq.),Florida trade secret law (FS § 688.001 et seq.),Common law rights in unpublished works,Biblical commandment: “Thou shalt not steal” Exodus 20:15. Prohibited Uses: The following activities are strictly prohibited and constitute willful infringement: Unauthorized Reproduction: Copying, distributing, or publicly displaying UofT materials without express written permission Data Scraping: Automated extraction or harvesting of UofT content via bots, crawlers, or scraping tools AI Training: Use of UofT proprietary theological content, translations, or instructional materials to train artificial intelligence models, large language models (LLMs), or machine learning systems, Derivative Works: Creation of modified versions, adaptations, or derivative works based on UofT materials, Commercial Exploitation: Use of UofT content for commercial purposes, including resale, licensing, or incorporation into commercial products Enforcement & Remedies: Violations of these intellectual property rights will be prosecuted to the fullest extent of law. Remedies include: Statutory damages up to $150,000 per work infringed (17 U.S.C. § 504©) Actual damages and infringer’s profits (17 U.S.C. § 504(b)) Injunctive relief prohibiting further infringement, Attorney’s fees and costs (17 U.S.C. § 505) Disgorgement of ill-gotten gains. Ecclesiastical discipline and removal from the faith community. DMCA Compliance: UofT complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). Repeat infringers will have access to UofT content permanently terminated. VII. LIMITATION OF LIABILITY & DISCLAIMERS. Religious Instruction Disclaimer: UofT provides religious instruction, spiritual formation, and theological education. UofT MAKES NO WARRANTIES OR REPRESENTATIONS regarding: Employment outcomes or career advancement, Professional licensure eligibility, Academic credit transferability or Secular educational equivalency.IX. PROTECTIONS AGAINST BAD-FAITH INQUIRY & ENTRAPMENT. A. Religious Good Faith Requirement: UofT is a private religious ministry. Access to UofT content and community forums is granted exclusively to individuals seeking genuine spiritual formation within the Messianic Hebrew Scripture tradition. Any individual accessing UofT materials or interacting with UofT staff for the purposes of investigation, surveillance, “sting” operations, entrapment, or evidentiary gathering on behalf of any governmental, regulatory, or secular agency—without providing formal, truthful disclosure of their affiliation and intent—is acting in bad faith.B. Revocation of Consent: Participants who enter UofT with the intent to entrap the Ministry, fabricate evidence, or provoke statements for the purpose of regulatory harassment acknowledge that their access is obtained through fraud. Such individuals expressly waive any right to claim “due process” or “privacy” during their interactions, as their entry into this covenantal space was predicated on a fraudulent religious motive. C. Prohibition of Electronic Monitoring: Unauthorized audio/video recording, telephonic intercept, or electronic monitoring of UofT ministerial briefings, private community discussions, or counseling sessions by any individual, including undercover agents or representatives of a state agency, is strictly prohibited. Engaging in such monitoring outside of a valid, court-issued warrant is a violation of these terms, a breach of the covenantal agreement, and will be treated as an actionable tort of intrusion upon seclusion. The act of accessing our site constitutes a strictly limited, revocable license which is immediately voided upon any attempt to monitor or bait content. ignoring terms exposes Liability for Computer Fraud and Abuse Act” (CFAA) Violations under CFAA (18 U.S.C. § 1030) exceeding authorized access. D. Non-Recognition of Regulatory “Baited” Statements: UofT explicitly rejects the validity or admissibility of statements obtained through investigative entrapment or bad-faith inquiries and will pursue Section 1983 Claims (42 U.S.C. § 1983 for actors who violate "under the color of law" to seek damages and injunctive relief. AS-IS Religious Content: All UofT content is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Limitation of Liability: To the fullest extent permitted by law, UofT and the Trust shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to participation in UofT programs or use of UofT materials. Assumption of Risk: You acknowledge that participation in religious study and covenant community involves spiritual, emotional, and intellectual challenges. You voluntarily assume all risks associated with your participation. VIII. GOVERNING LAW & SEVERABILITY Governing Law: These terms are governed exclusively by: The internal bylaws and trust instrument of Beth Jacob Hebrew Trust, Biblical covenant law and Hebrew Scriptural principles,The First Amendment to the United States Constitution, To the extent not preempted by constitutional law, the laws of the State of Florida (without regard to conflict of law principles) Severability: If any provision of these terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them enforceable while preserving the intent of the parties. Entire Agreement: These terms, together with UofT’s Privacy Policy and any program-specific enrollment agreements, constitute the entire agreement between you and UofT regarding your participation in UofT programs.IX.
